Bylaws for Heart of the Hills Quilters

5Article 1- Name

The name of this organization is HEART OF THE HILLS QUILTERS.

Article II – Purpose

The HEART OF THE HILLS QUILTERS is a non-profit organization whose purpose is to promote quilting through monthly meetings and civic projects. We are American citizens who are continuing this age-old tradition of quilting begun by women over three centuries ago. We hope to keep an interest in quilting growing by holding local meetings, hosting an annual quilt show and doing charitable work. The group has a growing membership with several of our members being charter members since the organization of the group in May 2000.

Article Ill – Membership

This organization shall consist of individual memberships. Individuals interested in quilting shall be eligible to become members. The members shall set dues for such members annually.

The cost of membership is $25.00 annually and is due the first meeting of each New Year in January. The membership year shall run from January 1 to December 31. Membership at any time in the year is $25.00.

Article IV – Officers

  1. Officers shall consist of President, Vice-President, Secretary, and
  2. Officers shall be chosen by a simple majority of membership present during annual
  3. Each officer shall serve a term of two years. Elections for all officers will be held at the first meeting in October. The Position to take effect January 1 of the following year.

  5. Duties of Officers:

President: The President shall preside at all meetings and shall have general supervision over the officers.

Vice President: The Vice-President shall, in absence of the President, perform the duties of the President and other duties assigned by the President. The Vice-President does not move into the President’s office upon completion of her/his term, but may choose to run for that office.

Secretary: The Secretary shall perform the usual duties associated with this office and other duties the President may assign. The Secretary shall keep minutes of the meetings.

Treasurer: The Treasurer shall perform the usual duties associated with this office and other duties the President may assign. The Treasurer shall make a quarterly report of the guild financial status for the current year.

Article V – Meetings

Business meetings are held at the Super 8 Motel in Hill City, South Dakota, every quarter on the second Monday (January, April, July, and October) at 5:00 p.m.

Regular quilting/work meetings are held the second and fourth Monday of each month at 5:00pm. These days are times to get acquainted, learn new techniques, exchange ideas and work on individual projects. Occasionally, these days are used to work on special projects for the Heart of the Hills Quilt Show. Meetings usually last until 7:00 p.m., but might run later depending on the evening’s agenda.

Article VI – Committees

The President may appoint any committee she/he deems necessary and shall appoint a chairperson of that committee. Possible committees could be as follows:

  5. Quilt Raffle Committee –
  6. Quilt Show Committee –

Article VII – Special Projects

  1. HEART OF THE HILLS QUILTERS promotes special projects as acts of kindness to various entities when needed within the community.

Article VIII – Rules of Order

The rules contained in Robert’s Rules of Order shall govern in all cases to which they apply and in which they are not inconsistent with the By-laws.

Article IX – Amendments

The By-laws may be amended or revised by the membership at any time by the affirmative vote of at least two-thirds of the members present at any regular or special meeting provided that the notice of any such meeting contain a summary of the proposed amendment or revisions.

Article X – Dissolution

Upon dissolution of the HEART OF THE HILLS QUILTERS, the officers shall, after paying or making provisions for the payment of all liabilities, dispose of the assets in such manner, or to such an organization organized and operated exclusively for charitable, educational, religious or scientific purposes, as shall at the time qualify as an exempt organization or organizations under Section 501(C}(3) of the Internal Revenue Code of 1954 (or the corresponding provision of any future United States Revenue Law) as the officers shall determine.
